Welcome to Coalition LA. These Terms & Conditions govern all sales made by Coalition Apparel, Inc. ("Coalition LA"). By placing an order with us, the Buyer agrees to the following terms.

1. Wholesale Accounts
Coalition LA sells exclusively to qualified wholesale businesses.
By placing an order, the Buyer represents that all information provided is accurate and that purchases are intended for resale or other approved business purposes.

2. Orders & Acceptance
All orders are subject to acceptance by Coalition LA.
An order is not considered accepted until confirmed by Coalition LA.
Coalition LA reserves the right to decline or cancel any order at its sole discretion.

3. Pricing
All prices are listed in U.S. Dollars (USD).
Prices are subject to change without prior notice.
Published pricing does not include applicable taxes, duties, shipping charges, or other government fees unless otherwise stated.

4. Payment Terms
Accepted payment methods include:

Wire Transfer
ACH
Check
Visa
Mastercard

Payment terms are established upon account approval.

Custom, private label, or special production orders may require a non-refundable deposit before production begins.

5. Shipping & Delivery
Shipping dates are estimates only.
Coalition LA is not responsible for delays caused by:

Freight carriers
Weather
Customs inspections
Labor disruptions
Material shortages

Events beyond our reasonable control
Risk of loss transfers to the Buyer once merchandise has been delivered to the shipping carrier.

6. Inspection & Claims
Buyers should inspect all merchandise immediately upon receipt.
Claims for manufacturing defects, shortages, or shipping errors must be submitted within 14 calendar days of the shipment date.
Claims submitted after this period may not be accepted.

7. Returns
Returns are accepted only for verified manufacturing defects or shipping errors.
All returns require prior written authorization and a valid Return Merchandise Authorization (RMA#).

8. Warranty
Coalition LA warrants that products are free from manufacturing defects at the time of shipment.
Our responsibility is limited to one of the following, at Coalition LA's discretion:

Replacement merchandise
Store credit
Repair (when applicable)
This warranty does not cover:

Normal wear and tear
Customer misuse
Washing damage
Alterations
Improper storage
Unauthorized repairs

9. Order Changes & Cancellations
Once production or order processing has begun, orders may not be cancelled or modified without written approval.
Approved cancellations may be subject to restocking fees, production costs, or other applicable charges.
Deposits for custom or private label orders are non-refundable.

10. Intellectual Property
All product designs, technical packs, photographs, catalogs, branding, logos, artwork, and marketing materials remain the exclusive property of Coalition Apparel, Inc.
They may not be copied, reproduced, modified, manufactured, or distributed without prior written permission.

11. Product Photography
Approved wholesale customers may use Coalition LA product images solely for the purpose of promoting and selling authentic Coalition LA merchandise.
Images may not be altered or used to promote competing products.

12. Limitation of Liability
Coalition LA shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits, business interruption, or loss of revenue arising from the purchase or use of our products.
Coalition LA's maximum liability shall not exceed the purchase price of the affected merchandise.

13. Force Majeure
Coalition LA shall not be responsible for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, labor disputes, transportation interruptions, government actions, or supplier shortages.

14. Governing Law
These Terms & Conditions shall be governed by the laws of the State of California.
Any legal action shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

15. Entire Agreement
These Terms & Conditions constitute the complete agreement between Coalition LA and the Buyer and supersede any prior agreements or communications unless otherwise agreed in writing.
